01Acceptance of terms

Scale Digital provides paid media services — advertising strategy, media buying, creative direction, tracking implementation, and reporting across platforms including Meta, Google, TikTok and Pinterest. We may modify, suspend or discontinue any aspect of our services at any time, with or without notice.

Where we are engaged on a specific scope, the proposal or service agreement we sign with you sets out the deliverables, fees and timelines, and takes precedence over these terms.

03Accounts and access

Some parts of our services require an account, or that you grant us access to your advertising, analytics or commerce platforms. You are responsible for keeping your credentials confidential and for restricting access to your account, and you accept responsibility for all activity that occurs under it.

04Acceptable use

You agree not to use our services for any unlawful purpose, or in any way that breaches these terms. You also agree not to:

• Harass, abuse or harm other users
• Violate the rights of third parties
• Interfere with or disrupt the operation of our services
• Use our services for commercial solicitation without our prior written consent

05Intellectual property

All content and materials available through our services, text, graphics, logos, images and software, are the property of Scale Digital Pty Ltd or its licensors, and are protected by copyright, trademark and other intellectual property laws.

Deliverables produced for you under a signed engagement remain yours to use for your own business purposes.

06Limitation of liability

To the fullest extent permitted by law, Scale Digital Pty Ltd is not liable for any direct, indirect, incidental, special or consequential damages arising out of, or in any way connected with, the use of our services.

07Indemnification

You agree to indemnify and hold Scale Digital Pty Ltd, its affiliates, officers, directors, employees and agents harmless from and against any claims, liabilities, damages, losses or expenses arising out of, or in any way connected with, your use of our services.

08Governing law

These Terms and Conditions are governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

09Changes to these terms

We may update or modify these Terms and Conditions at any time without prior notice. Continued use of our services after any change constitutes acceptance of the updated terms.
